PUBLIC OFFER 

for concluding a sales contract 


1. General Provisions This Public Offer contains the terms for concluding a Sales Contract (hereinafter referred to as the “Sales Contract” and/or the “Contract”). This offer is recognized as a proposal addressed to one or several specific persons, which is sufficiently definite and expresses the intention of the person making the offer to consider itself bound by the Contract with the addressee who accepts the offer. Performing the actions specified in this Offer shall be considered as the confirmation of the consent of both Parties to conclude the Sales Contract on the terms, in the manner, and to the extent set forth in this Offer. The text of this Public Offer below constitutes the official public proposal from the Seller, addressed to an interested circle of persons, to conclude a Sales Contract in accordance with the provisions of paragraph 2 of Article 437 of the Civil Code of the Russian Federation. The Sales Contract shall be deemed concluded and shall come into force once the Parties perform the acts stipulated in this Offer, which indicate unconditional and full acceptance of all terms of this Offer without any exceptions or limitations on a take-it-or-leave-it basis. Terms and Definitions: Contract — the text of this Offer with its Appendices, which are an integral part of this Offer, accepted by the Buyer by performing implied actions stipulated in this Offer. Implied actions — behavior that expresses consent to the counterparty’s offer to conclude, amend, or terminate a contract. Such actions consist of full or partial fulfillment of the conditions proposed by the counterparty. Seller’s Website on the Internet — a set of computer programs and other information contained in the information system, access to which is provided via the Internet under the domain name and network address: ekaterinaprisich.com Parties to the Contract (Parties) — the Seller and the Buyer. Goods — any items that may be sold under the Sales Contract complying with the rules stipulated by Article 129 of the Civil Code of the Russian Federation. 2. Subject of the Contract 2.1. Under this Contract, the Seller undertakes to transfer the item (Goods) into the ownership of the Buyer, and the Buyer undertakes to accept the Goods and pay the Seller a specified amount of money for them. 2.2. The name, quantity, and assortment of the Goods, their price, delivery terms, and other conditions are determined based on the Seller’s data when the Buyer submits an order, or as specified on the Seller’s Website on the Internet: ekaterinaprisich.com 2.3. Acceptance of this Offer is expressed through implied actions, in particular: • actions related to registering an account on the Seller’s Website if such registration is required; • filling out and submitting an order application for the Goods; • providing the required information for concluding the Contract by phone or email as indicated on the Seller’s Website, including during a callback by the Seller upon the Buyer’s request; • payment for the Goods by the Buyer. The above list is not exhaustive; other actions may also clearly express the intention of the person to accept the counterparty’s offer. 3. Rights and Obligations of the Parties 3.1. Rights and obligations of the Seller: 3.1.1. The Seller has the right to demand payment for the Goods and their delivery in the manner and under the conditions stipulated by the Contract; 3.1.2. The Seller may refuse to conclude the Contract with the Buyer based on this Offer in case of the Buyer’s bad faith behavior, in particular, in cases of: • more than 2 (two) refusals of Goods of proper quality within a year; • provision of knowingly false personal information; • return of goods that are damaged by the Buyer or goods that have been used; • other cases of bad faith conduct indicating that the Buyer concludes the Contract for the purpose of abusing rights and lacks the usual economic purpose of acquiring the Goods. 3.1.3. The Seller undertakes to transfer the Goods to the Buyer of proper quality and in proper packaging; 3.1.4. To transfer the Goods free from third-party rights; 3.1.5. To organize the delivery of the Goods to the Buyer; 3.1.6. To provide the Buyer with all necessary information in accordance with the requirements of the current legislation of the Russian Federation and this Offer; 3.2. Rights and obligations of the Buyer: 3.2.1. The Buyer has the right to demand delivery of the Goods in the manner and under the conditions stipulated by the Contract. 3.2.2. To demand provision of all necessary information in accordance with the requirements of the current legislation of the Russian Federation and this Offer; 3.2.3. To refuse the Goods on the grounds stipulated by the Contract and the current legislation of the Russian Federation. 3.2.4. The Buyer undertakes to provide the Seller with accurate information necessary for the proper execution of the Contract; 3.2.5. To accept and pay for the Goods in accordance with the terms of the Contract; 3.2.6. The Buyer guarantees that all conditions of the Contract are clear and accepts the terms unconditionally and in full. 4. Price and Payment Procedure 4.1. The price and payment procedure for the Goods are determined based on the Seller’s data when the Buyer places an order, or as set on the Seller’s website on the Internet: ekaterinaprisich.com 4.2. All payments under the Contract are made by non-cash (cashless) methods. 5. Exchange and Return of Goods 5.1. The Buyer has the right to return (exchange) the Goods purchased remotely to the Seller, except for the list of goods not subject to exchange or return according to current legislation of the Russian Federation. Conditions, terms, and procedures for the return of Goods of proper and improper quality are established in accordance with the requirements of the Civil Code of the Russian Federation, the Russian Law dated 07.02.1992 No. 2300-1 “On Protection of Consumer Rights, ” and the Rules approved by the Resolution of the Government of the Russian Federation dated 31.12.2020 No. 2463. 5.2. The Buyer’s request for exchange or return of the Goods shall be satisfied if the Goods have not been used, their consumer properties are preserved, and there is proof of purchase from the Seller. 6. Confidentiality and Security 6.1. In the execution of this Contract, the Parties shall ensure the confidentiality and security of personal data in accordance with the current edition of Federal Law No. 152-FZ of 27.07.2006 “On Personal Data” and Federal Law No. 149-FZ of 27.07.2006 “On Information, Information Technologies and Information Protection.” 6.2. The Parties undertake to keep confidential any information received in the course of executing this Contract and take all possible measures to prevent disclosure of such information. 6.3. Confidential information means any information exchanged between the Seller and Buyer during the performance of this Contract that is subject to protection, except as stipulated otherwise.  6.4. Such information may be included in local regulations issued by the Seller, contracts, letters, reports, analytical materials, research results, diagrams, charts, specifications, and other documents, both in paper and electronic form. 7. Force Majeure 7.1. The Parties shall be released from liability for non-performance or improper performance of obligations under the Contract if proper performance became impossible due to force majeure, i.e., extraordinary and unavoidable circumstances under the given conditions, which include: government prohibitions, epidemics, blockades, embargoes, earthquakes, floods, fires, or other natural disasters. 7.2. In the event of such circumstances, the affected Party shall notify the other Party within 30 (thirty) business days. 7.3. A document issued by an authorized government body shall be sufficient evidence of the existence and duration of force majeure. 7.4. If the force majeure circumstances continue for more than 60 (sixty) business days, either Party shall have the right to unilaterally terminate this Contract. 8. Liability of the Parties 8.1. In the case of non-performance and/or improper performance of their obligations under the Contract, the Parties shall bear liability in accordance with the terms of this Offer. 8.2. The Party that failed to perform or improperly performed its obligations under the Contract shall be obliged to compensate the other Party for losses caused by such violations. 9. Term of this Offer 9.1. The Offer comes into effect upon its posting on the Seller’s Website and remains valid until withdrawn by the Seller. 9.2. The Seller reserves the right to amend the terms of the Offer and/or withdraw the Offer at any time at its discretion. Information about the amendment or withdrawal of the Offer shall be communicated to the Buyer at the Seller’s choice by posting it on the Seller’s Website, in the Buyer’s Personal Account, or by sending a corresponding notification to the email or postal address provided by the Buyer when concluding the Contract or during its execution. 9.3. The Contract becomes effective upon the Buyer’s acceptance of the terms of this Offer and remains in force until the Parties have fully performed their obligations under the Contract. 9.4. Amendments made by the Seller to the Contract and published on the Website in the form of an updated Offer shall be considered fully accepted by the Buyer. 10. Additional Terms 10.1. The Agreement, its conclusion, and execution are governed by the current legislation of the Russian Federation. All issues not regulated by this Offer, or not fully regulated, shall be governed in accordance with the substantive law of the Russian Federation. 10.2. In the event of a dispute arising between the Parties during the performance of their obligations under the Agreement concluded based on this Offer, the Parties are obliged to resolve the dispute amicably before initiating legal proceedings. Legal proceedings shall be conducted in accordance with the legislation of the Russian Federation. Disputes or disagreements on which the Parties have not reached an agreement shall be resolved in accordance with the legislation of the Russian Federation. The pre-trial dispute resolution procedure is mandatory. 10.3. The Parties have determined Russian as the language of the Agreement concluded under this Offer, as well as the language to be used in all interactions between the Parties (including correspondence, submission of claims/notifications/explanations, provision of documents, etc.). 10.4. All documents required to be provided under the terms of this Offer must be drafted in Russian or accompanied by a certified translation into Russian in the prescribed manner. 10.5. The inaction of one Party in the event of a breach of the terms of this Offer shall not deprive the interested Party of the right to protect its interests later and does not constitute a waiver of its rights in case the other Party commits similar or related violations in the future. 10.6. If the Seller’s website on the Internet contains links to other websites and third-party materials, such links are provided solely for informational purposes. The Seller has no control over the content of such websites or materials and is not responsible for any losses or damages that may arise from the use of such links. 11.
